1. Acceptance of Terms

By visiting the Site, submitting a contact form, signing up for our waitlist, or otherwise interacting with our content, you represent that you are at least 13 years of age and that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of the Site

The Site is a marketing and informational website for Omnodex's AI observability and security products, which are currently in development. The Site allows visitors to learn about our product, submit contact inquiries, request demos, and join a waitlist for early access. We do not currently offer any product, service, or software for download or purchase through the Site.

We reserve the right to modify, suspend, or discontinue the Site (or any portion thereof) at any time, with or without notice, and without liability to you.

3. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, icons, images, code, and design, is the property of Omnodex, LLC or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws. The Omnodex name and logo are trademarks of Omnodex, LLC.

You may access and view Site content for your personal, non-commercial informational purposes only. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Site content without our prior written permission.

4. Acceptable Use

You agree not to use the Site to:

• Violate any applicable local, state, national, or international law or regulation.
• Transmit any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

When you submit information through a contact form, waitlist sign-up, or any other Site feature, you represent that the information is accurate and that you have the right to provide it. You grant Omnodex, LLC a non-exclusive, royalty-free license to use any feedback, suggestions, or ideas you submit for any purpose, without obligation or compensation to you.

We are not obligated to respond to, retain, or act upon any submission.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OMNODEX, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OMNODEX, LLC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

9. Indemnification

You agree to indemnify, defend, and hold harmless Omnodex, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any third-party rights.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. For disputes not subject to arbitration, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in New York County, New York.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site that cannot be resolved informally shall be resolved by binding arbitration administered under the rules of the American Arbitration Association (AAA), with proceedings conducted in New York, NY. Each party will bear its own costs unless the arbitrator determines otherwise. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted solely on an individual basis and not as a class, collective, or representative action.

11. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting to the Site with a revised "Last updated" date. Your continued use of the Site after any changes constitutes your acceptance of the updated Terms. We encourage you to review this page periodically.

12. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Omnodex, LLC with respect to your use of the Site and supersede all prior agreements on the same subject matter. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
